Terms of Service

1. Agreement to Terms

By accessing or using the services of Workflow Systems Ltd (“we,” “our,” or “us”), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services Description

Workflow Systems provides software development, AI automation, cloud infrastructure, and related technology consulting services. All services are subject to separate Service Agreements and Statements of Work.

3. Intellectual Property

3.1 Client Ownership

Upon full payment, clients receive full ownership of all custom code, designs, and deliverables specifically created for their project, unless otherwise agreed in writing.

3.2 Pre-existing IP

We retain ownership of our pre-existing intellectual property, including frameworks, libraries, and tools that may be incorporated into deliverables. Clients receive a perpetual license to use such IP as part of the delivered solution.

3.3 Open Source

We may incorporate open-source components into our deliverables. Such components remain subject to their respective open-source licenses.

4. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives termination of our business relationship for a period of 5 years.

5. Data Protection

We process personal data in accordance with UK GDPR and our Data Processing Agreement. As a Data Processor, we implement appropriate technical and organizational measures to protect personal data.

6. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we do not warrant that:

  • The services will meet all specific requirements not explicitly documented
  • The services will be uninterrupted, timely, secure, or error-free
  • Any errors will be corrected

All services are provided “as is” except as expressly stated in a Service Agreement.

7. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific services giving rise to the liability in the 12 months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

8. Indemnification

You agree to indemnify and hold harmless Workflow Systems, its directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.

9. Termination

Either party may terminate a Service Agreement with 30 days' written notice. Upon termination:

  • Client remains liable for all fees for services rendered up to termination
  • We will deliver all completed work and client materials
  • Confidentiality obligations survive termination

10. Governing Law

These Terms of Service and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of the modified terms.
